Schindler Attorneys advised Triton on the Acquisition of Trench

Schindler Attorneys advised the private equity firm Triton on its acquisition of Siemens Energy’s high-voltage division, Trench. The parties have agreed not to disclose the purchase price or the details of the carve-out transaction. The transaction is subject to regulatory approval, necessary consultations, and other customary closing conditions. The transaction is expected to close in the first half of 2024.

Trench specializes in the manufacture of components for high-voltage grids, including bushings, instrument transformers, and coil products, which are marketed under the HSP and Trench brands. The company is one of the world’s leading specialists in its markets and employs 2,400 people in Europe, North America, and China. With nine locations, Trench has a presence in Germany, Austria, France, Italy, Canada, and Bulgaria, among other countries.

Triton is a leading European private equity firm founded in 1997 and owned by its partners. Triton specializes in mid-market companies and focuses on businesses that provide essential goods and services in the services, healthcare, consumer goods, and industrial sectors. Triton employs more than 200 investment professionals across 11 offices and invests through three complementary “all-weather” strategies: Mid-Market Private Equity, Smaller Mid-Cap Private Equity, and Opportunistic Credit.

The transaction team at Schindler Attorneys, led by partners Clemens Philipp Schindler (Corporate Law/M&A) and Martin Abram (Corporate Law/M&A), also included partners Philippe Kiehl (Antitrust, Investment Control, and Compliance) and Philipp Spring (IP/IT, Data Protection), Senior Associates Isolde Klinger (Corporate Law/M&A, Due Diligence) and Kevin Luiki (Real Estate Law), as well as Associates Simon Fehlhofer (Corporate Law/M&A), Emma Hackstock (Corporate Law/M&A), and Sarah Penker (Corporate Law/M&A).

Schindler Attorneys served as local counsel to the acquirer, which is one of the firm’s existing clients. Most recently, Schindler Attorneys advised Triton on the Austrian aspects of the tender offer for Caverion Corporation. Latham & Watkins served as lead counsel for the acquisition of Trench, led by partner Dr. Rainer Traugott.
