Schindler Attorneys Advises Armira Growth on Strategic Investments in Aviloo and nyra health
Schindler Attorneys served as lead counsel, providing legal and tax advice to Armira Growth on two Austrian transactions: the investment in battery diagnostics specialist AVILOO and the Series A financing round for the digital health company nyra health.
As part of the AVILOO transaction, Armira Growth is investing approximately 30 million euros in the Wiener Neudorf-based company and, together with Invest AG, is buying out the European Innovation Council Fund as a previous investor. Alongside Raiffeisen KMU Invest, Armira and Invest AG will be among the company’s most important shareholders going forward. The investment is subject to antitrust approval.
Since its founding in 2018 by Wolfgang Berger and Nikolaus Mayerhofer, AVILOO has become the global market leader in independent battery diagnostics for used electric and plug-in hybrid vehicles. The strategic leadership of the company remains in the hands of CEO Marcus Berger and the founding team, who will continue to hold significant stakes.
Furthermore, Schindler Attorneys advised Armira Growth on the Series A funding round for nyra health, the leading provider of an AI-based platform for neurological therapy. The current funding round, totaling 20 million euros, was led by Armira Growth. Existing investors Wellington Partners, Crane Venture Partners—which now manages MassMutual Ventures’ investments—and EVER Pharma are participating once again.
The Vienna-based startup is developing the world’s most advanced AI platform for neurological rehabilitation, which connects patients and clinical professionals within a shared infrastructure and enables seamless therapy from inpatient care through to long-term outpatient care. The platform includes the CE-certified therapy software myReha (MDR Class IIa) and the clinical management system nyra insights.
Armira is a leading European investment holding company specializing in partnerships with entrepreneur-led and family-run “hidden champions” with a long-term focus. The company manages assets of more than 5 billion euros and is supported by a broad base of entrepreneurs, entrepreneurial families, and long-term investors. Armira provides capital across the entire investment lifecycle, ranging from minority stakes to majority stakes.
In addition to partner Clemens Philipp Schindler (Corporate/M&A, Tax Law), partner Florian Cvak (Corporate/M&A) at AVILOO and Martin Abram (Corporate/M&A) at nyra health provided lead counsel. Together with Clemens Philipp Schindler, counsel Daniel Kropf handled the tax structuring, and associate Mohamed Hemdan handled the tax due diligence. The two deal teams at Schindler Attorneys also included partners Philippe Kiehl (Merger Control), Michaela Pelinka (Corporate/M&A, Real Estate Law), Philipp Spring (IP/IT), and Dominik Stella (Employment Law), Senior Associate Valentina Hekele (Corporate/M&A), and Associates Ayzat Bollin (Corporate/M&A) and Viktoria Schwegl (Employment Law). Regarding nyra health, Armira Growth was also advised by White & Case on regulatory matters.
