Building Structures for Sustainable Recovery
Practice Areas | Reorganizations
We advise corporate clients on domestic and cross-border reorganizations of all kinds and their related tax and governance implications. Our work covers intra-group reorganizations as well as structures involving unrelated parties, including in connection with acquisitions and joint ventures. Cross-border corporate migrations are another focus of our practice.
We have extensive experience in corporate reorganizations, particularly those involving a cross-border element. Our practice covers mergers, spin-offs and other reorganizations within the EU, as well as complex cross-border structures involving non-EU jurisdictions, an area in which we have developed a particularly strong track record.
Cross-border corporate migrations are an increasingly important part of our reorganization practice. While EU legislation and ECJ case law provide various options for migrations within the EU, migrations from and into non-EU jurisdictions continue to present particular legal challenges. We have extensive experience in advising clients on such cross-border migrations.
We have extensive experience in establishing structures involving the supranational Societas Europaea (SE). SE structures can provide additional flexibility regarding employee co-determination and may allow companies to transfer their registered office between EU Member States without requiring a corporate migration, depending on the circumstances.
